Osram Licht advises its shareholders to agree with the takeover bid of 41 euros per share from the Austrian sensor maker AMS. The German lighting company has already set out the terms of the acquisition, following discussions with AMS.
The jobs at the German factories of Osram will be preserved at least until the end of 2022. In addition, the Osram brand name will be given a place in the name of the new company after the acquisition. The new company’s headquarters will be in Munich.
The shareholders have until December 5 to reach a decision. It is already the third attempt by AMS to incorporate Osram. This time, the acceptance threshold for the deal has been lowered to 55 percent of the shares.
Osram also saw its operating result (EBITDA) fall to 86 million euros in the fourth quarter of its broken financial year. That is a decrease of 43 percent on an annual basis. In addition, the medium-term financial objectives were postponed by two years.
